Costs and availability
We make every effort to ensure that the information displayed on the PG Online website or in our catalogue is accurate, but cannot be guaranteed.
Payment
Where terms have been agreed, our invoices for UK customers are due for payment 30 days from their date. We reserve the right to charge for costs and expenses incurred in recovering late payments and to charge interest on overdue amounts at the rate in force pursuant to the Late Payment of Commercial Debts (Interest) Act 1998 as at the due date. International payment terms state that materials will be supplied upon receipt of payment.
Budget Plan, Extended Terms and Conditions
These general terms and conditions shall apply to the payment of invoices issued by PG Online to you pursuant to these Payment Terms.
For two stage plans you shall pay a minimum of 50% of the unit order value within 30 (thirty) days of the date of the invoice and the balance to be paid within 30 (thirty) days of the second invoice which shall be issued on or before the date falling 12 months after the date of the first invoice.
For three stage plans you shall pay a minimum of one third of the unit order value within 30 (thirty) days of the date of the invoice and half of the remaining unit order balance within 30 (thirty) days of the second invoice which shall be issued on or before the date falling 12 months after the date of the first invoice. The final balance shall be paid within 30 (thirty) days of the third invoice which shall be issued on or before the date falling 24 months after the date of the first invoice.
If you fail to make a payment within the relevant aforesaid period, all outstanding sums shall be accelerated and become payable on demand.
You shall not, without the prior written consent of PG Online, assign, transfer, charge, sub-contract or deal in any other manner with all or any of your rights or obligations under these terms and conditions. For the avoidance of doubt, unless otherwise agreed in writing, nothing shall relieve you from your payment obligations hereunder including, but not limited to (i) any factor which may impact the value of the material supplied (including any change in the national curriculum) or (ii) any change in your status or structure (whether by way of merger, conversion, change of name or management). PG Online may at any time assign, transfer, charge, sub-contract or deal in any other manner with all or any of its rights or obligations under these terms and conditions.
A waiver by PG Online of any right under these terms and conditions is only effective if it is in writing and it applies only to the circumstances for which it is given. Unless specifically provided in writing to you, rights arising under these terms and conditions are cumulative and do not exclude rights provided by law.
If any provision (or part of a provision) of these terms and conditions is found by any court or administrative body of competent jurisdiction to be invalid, unenforceable or illegal, the other provisions will remain in force. If any invalid, unenforceable or illegal provision would be valid, enforceable or legal if some part of it were modified, that provision will apply with whatever modification is necessary to make it valid, enforceable and legal.
Nothing in these terms and conditions is intended to, or shall operate to, create a partnership between you and PG Online, or to authorise either of us to act as agent for the other, and neither of us shall have authority to act in the name or on behalf of or otherwise to bind the other in any way (including the making of any representation or warranty, the assumption of any obligation or liability and the exercise of any right or power).
You and PG Online irrevocably agree that the courts of England shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these terms and conditions or their subject matter.
Editable Subscription Package Terms and Conditions
Subscriptions are valid for domestic UK schools only. International schools may purchase a lifetime licence for the same materials.
These general terms and conditions shall apply to the payment of invoices issued by PG Online to you pursuant to these Subscription Payment Terms. You shall pay the full value of the subscription order value within 30 (thirty) days of the date of the invoice.
If you fail to make a payment within the relevant aforesaid period, access and a valid licence to use the materials may be withdrawn. You shall not, without the prior written consent of PG Online, assign, transfer, charge, sub-contract or deal in any other manner with all or any of your rights or obligations under these terms and conditions. Shortly before the anniversary of your subscription, you shall receive an automated renewal order form. This may be used to renew the subscription and the licence agreement in place to ensure the continued use the materials within the registered institution. There is no obligation to renewal. Any decision not to renew after the expiration date will terminate this agreement and terminate the licence and copyright agreement to use these materials in your school or by any colleagues currently employed by the institution inside or outside their place of work. Confirmation must be provided that the complete material packages purchased as part of the original subscription and any edited part of the materials have been removed from all systems under the control of the institution or any licensed employees.
No refund may be offered outside of our guarantee period once downloadable materials have been accessed. Cancellation of the subscription at anytime during the licence period shall not be refunded for the unused period pro-rata thereof. Download and software tracking technology may be used to monitor the usage of our materials. PG Online reserve the right to change or discontinue our online services. In such an event, pro-rata discounts may be offered or alternative products or services provided of equal or greater value.
Teach.pgonline Subscription Terms and Conditions
The teach.pgonline platform is intended to be used and accessed by practising professionals including full- or part-time teachers, student teachers, supply teachers, tutors and home schoolers. Students are not permitted to access materials through this platform. Access to the materials under the teach.pgonline platform are pursuant to an individual purchasing or obtaining a valid licence. The date of expiry will be shown on the site.

License agreement
This is a legal agreement between you, the individual, and PG Online Limited. The worksheets and homework sheets distributed with this unit may be copied and used by the licenced individual only in the course of their teaching. Worksheets and homework sheets may be printed only for those students directly under their supervision. You warrant that you shall not share in any way any of the materials or part of the materials with any third party, including other teaching colleagues, users on another site or individuals who are teachers and/or employees of a separate institution. You acknowledge and agree that the materials must remain with you, the individual, and no part of the materials may be transferred to another person or institution or uploaded to a file sharing platform, whether within an institution or publicly accessed. You also warrant that you shall not, and shall procure that each of your students shall not, procure, authorise, encourage, facilitate or enable any third party to reproduce these materials in whole or in part without the prior permission of PG Online Limited.
In consideration of the licence granted to you, you shall indemnify PG Online Limited against all liabilities, costs, expenses, damages and losses (including but not limited to any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs and all other professional costs and expenses) suffered or incurred by PG Online Limited arising out of or in connection with the exercise by you of your rights granted under this licence.

We are confident that you will be delighted with the quality of our digital resources. If for any reason you are not completely satisfied within 100 days of your purchase, we will give you a refund. We are unable to refund after this period.
Competitions
Competitions are promoted by PG Online Ltd (company no. 8662047) whose registered office is as stated below.
The competition is open to residents of the United Kingdom aged 18 years or over except employees of PG Online and their close relatives and anyone otherwise connected with the organisation or judging of the competition.
There is no entry fee and no purchase necessary to enter our competition.
By entering our competition, an entrant is indicating his/her agreement to be bound by these terms and conditions.
Only one entry will be accepted per person. Multiple entries from the same person will be disqualified.
Closing date for entry will be as stated on the promotional material. After the date stated, no further entries to the competition will be permitted.
No responsibility can be accepted for entries not received for whatever reason.
PG Online Ltd reserves the right to cancel or amend the competition and these terms and conditions without notice in the event of a catastrophe, war, civil or military disturbance, act of God or any actual or anticipated breach of any applicable law or regulation or any other event outside of the promoter’s control. Any changes to the competition will be notified to entrants as soon as possible by PG Online Ltd.
PG Online Ltd is not responsible for inaccurate prize details supplied to any entrant by any third party.
The prize is as stated, and no cash or other alternatives will be offered. The prizes are not transferable. Prizes are subject to availability and we reserve the right to substitute any prize with another of equivalent value without giving notice. In the instance of winning a 'class set of books' this is equal to 30(thirty) textbooks.
Winners will be chosen at random by software, from all entries received and verified by PG Online Ltd.
The winner(s) will be notified by email within 28 days of the closing date. If the winner cannot be contacted or do not claim the prize within 14 days of notification, we reserve the right to withdraw the prize from the winner and pick a replacement winner.
The promoter will notify the winner when and where the prize can be downloaded / delivered.
PG Online Ltd decision in respect of all matters to do with the competition will be final and no correspondence will be entered into.
